The mining giant has formally backed Kingfisher Metals Corp. (TSXV: KFR | OTCQB: KGFMF) with a major strategic equity investment, handing the Vancouver-based junior explorer both an impressive cash injection and an unmistakable vote of confidence in its flagship assets.
Under the terms of the non-brokered private placement agreement, Barrick Mining has agreed to purchase 15,470,934 units of Kingfisher Metals at a price of C$1.35 per unit, generating aggregate gross proceeds of C$20,885,761.
Each unit in the placement consists of one common share and one-half of a common share purchase warrant. Every whole warrant allows the holder to acquire one additional share at an exercise price of C$1.70 for a period of two years following closing.

The HWY 37 Project sits in a premier geological neighborhood in Northwest British Columbia. By securing long-term funding, Kingfisher eliminates near-term dilution anxiety and positions itself to test multiple high-priority porphyry targets across the district.
Along with the equity purchase, both companies will sign an Investor Rights Agreement establishing strategic boundaries and governance rules. As long as Barrick Mining Corporation (NYSE: B | TSX: ABX) maintains at least a 5% equity stake, it will enjoy participation and top-up rights to preserve its pro-rata ownership in future equity raises, access to technical data, and representation on a joint technical committee. Barrick has also agreed to provide technical support and expertise to Kingfisher upon request during the 2027 and 2028 drill seasons.
To maintain stability, the agreement includes standard safeguards. Kingfisher cannot sell, transfer, or grant royalties on the HWY 37 Project for 24 months without Barrick's prior consent, unless a full company acquisition occurs. In return, Barrick is bound by an 18-month lock-up on its acquired securities, a two-year voting agreement to support Kingfisher management or abstain, and a two-year standstill limiting its ownership cap to 15% (or 19.9% if an uninvited third party acquires a 10% stake).
