The Vancouver-based mineral explorer is combining a non-brokered equity injection with the outright cash sale of a non-core rare earth property, channeling every available dollar toward its flagship copper asset in Oregon.
The centerpiece of the capital push is a non-brokered private placement intended to generate gross proceeds of up to $500,000. Under the terms of the transaction, Ameriwest Critical Metals plans to issue approximately 1,923,077 common shares at a price of $0.26 per share. Notably, the placement comes without the overhang of warrants or the friction of finders' fees, keeping the post-financing share structure remarkably clean. The financing remains subject to customary closing conditions, including approval from the Canadian Securities Exchange, and all newly issued shares will carry a statutory four-month plus one-day hold period under applicable securities laws.
