Prospector Metals Transforms into Pure-Play Yukon Explorer After Property Disposition
Prospector Metals Corp. spins off non-core assets to Lightning Resource Corp. and returns capital to shareholders, clearing the runway for a pure-play, multi-rig drill campaign in the Yukon.

Chasing high-grade gold with zero dead weight, Prospector Metals Corp. (TSXV: PPP | OTCQB: PMCOF) has completed the corporate equivalent of traveling light.
The Vancouver-based explorer finalized the disposition of its non-Yukon property portfolio to Lightning Resource Corp. (TSXV: LTNG | OTCQB: BMTLF), previously known as BeMetals Corp.. In exchange for transferring the mineral titles to the Savant, TooGood, Whitton, and Devon projects, along with 5,367,000 shares of TooGood Gold Corp. (TSXV: TGC | OTCQB: TGGCF), proprietary geological data, and $150,000 in cash, Prospector Metals acquired 29.4 million common shares of Lightning Resource, giving it an immediate 43.98% equity stake.
Rather than sitting on those shares, leadership is handing the upside directly back to investors. Shareholders of Prospector Metals will receive a one-time special distribution as a return of capital on a ratio of 0.174977 Lightning Resource shares for each Prospector share held. Ex-distribution trading kicks off at market open on September 4, 2026, matching the market close record date, while the final distribution takes place on September 10, 2026. Simultaneously, eight million subscription receipts converted into eight million common shares of Lightning Resource and four million purchase warrants exercisable at $0.62 through September 2, 2027.
