Action Cam Giant GoPro Enters National Security Arena via Starman Optical Merger
How an action camera giant is leveraging a $285M optical merger to wipe out debt and enter next-generation defense and AI data center hardware.

Action camera pioneer GoPro (NASDAQ: GPRO) is trading adrenaline junkies for artificial intelligence data centers in a transformative $285 million recapitalization deal.
The company announced a definitive merger agreement with Starman Optical, Inc., a U.S.-based optical-photonics business specializing in high-speed optical transceivers for national security, aerospace, and AI hardware networks.
Under the agreed terms, existing stockholders of GoPro will receive an aggregate cash payout of $285 million, translating to roughly $1.14 per share, subject to final net working capital adjustments. Shareholders will retain approximately 10% equity in the combined entity, which will remain publicly traded on the Nasdaq. Crucially, the deal completely eliminates roughly $92 million of outstanding debt from the balance sheet of GoPro at closing, providing immediate financial relief.
The strategic shift targets the skyrocketing demand for domestic AI infrastructure. By combining the imaging intellectual property of GoPro with the advanced manufacturing platform of Starman Optical, Inc., the combined enterprise intends to deliver key photonics components to defense agencies, robotics creators, and hyperscale data centers looking for U.S.-made hardware.
"We expect this merger to enable GoPro to grow across consumer, commercial and defense markets as a leading American imaging and optical solutions company, addressing important areas of national security related to cameras, optics and AI infrastructure," said Nicholas Woodman, Founder and CEO of GoPro.
Despite entering defense and high-performance computing markets, current customers need not worry about their action hardware. The combined company plans to maintain and support the core lineup of consumer cameras, cloud storage, and subscription services from GoPro while investing in an expanded optics roadmap.
Charles Tebele, Chief Executive Officer of Starman Optical, Inc. holding entity, emphasized the importance of domestic production, highlighting that pairing the optical expertise of GoPro with advanced transceiver capabilities offers a unique opportunity to bring critical hardware manufacturing back to the United States.
The boards of directors for both GoPro, Inc. (NASDAQ: GPRO) and Starman Optical, Inc. have approved the merger. The transaction is targeted to close by year-end 2026, subject to regulatory clearances, stockholder approval, and customary closing conditions.
